Terms of Service

These Terms of Service ("Terms") govern your use of the websites, applications, and services operated by Nimpact Environmental Ltd ("Nimpact", "we", "us", or "our"), a Canadian corporation registered in the Province of Alberta. By accessing or using our services, you agree to be bound by these Terms.

Services

Nimpact provides the following products and services:

• Farm Health Reports — satellite imagery analysis for agricultural land, including vegetation health, soil moisture, and water quality assessments
• Beach Water Quality Reports (BeachBook) — satellite-based water quality monitoring and reporting for beaches and lakes
• AI Tutoring — interactive AI-powered training modules on environmental monitoring and satellite analysis

Accounts

Some of our services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when creating an account and to update it as necessary.

Payment and Pricing

• All prices are listed in Canadian Dollars (CAD)
• Payments are processed securely through Stripe. We never store your credit card information
• All products are delivered digitally (reports via email and/or downloadable from your account)
• Prices are subject to change; any price changes will not affect orders already placed

Refund Policy

Because our products are digitally delivered reports generated on demand using satellite data and computational resources:

• No refunds are provided on delivered digital reports
• If you experience a technical issue preventing report delivery, or if a report contains a clear processing error, contact us at info@nimpact.ca and we will work to resolve the issue, which may include regenerating the report at no additional charge
• If a report cannot be generated for your requested location (e.g., insufficient satellite data coverage), we will issue a full refund

Environmental Data Disclaimer

All environmental data, satellite imagery analysis, water quality assessments, vegetation indices, and related outputs provided through our services are delivered on an "as-is" basis. While we strive for accuracy, you acknowledge that:

• Our reports are not a substitute for professional environmental assessment, field testing, or expert consultation
• Satellite-derived data is subject to limitations including cloud cover, sensor calibration, spatial resolution, and temporal gaps
• Water quality indicators are modelled estimates and should not be used as the sole basis for public health decisions
• Agricultural data (NDVI, soil moisture, etc.) provides general trends and should be supplemented with ground-truth observations

Intellectual Property

Upon purchase, you receive a non-exclusive, non-transferable license to use your purchased reports for your own personal or internal business purposes. You may not:

• Resell, redistribute, or sublicense reports to third parties
• Use our reports to create competing products or services
• Remove or alter any copyright notices, watermarks, or attribution included in reports

All software, algorithms, models, website content, branding, and other intellectual property remain the exclusive property of Nimpact Environmental Ltd.

Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Attempt to reverse-engineer, scrape, or interfere with our systems
• Submit false or misleading information
• Use automated tools to access our services in a manner that exceeds reasonable use

Limitation of Liability

To the maximum extent permitted by applicable law, Nimpact Environmental Ltd, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunity, arising out of or related to your use of our services.

Our total liability for any claim arising from or related to these Terms or our services shall not exceed the amount you paid to us for the specific service giving rise to the claim in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Nimpact Environmental Ltd from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

Termination

We may suspend or terminate your access to our services at any time if you violate these Terms. You may close your account at any time by contacting us at info@nimpact.ca. Termination does not entitle you to a refund for any previously delivered reports.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post a notice on nimpact.ca and update the "Last updated" date above. Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of the Province of Alberta.
